Notice of Special General Meeting (SGM)

Community Pharmacy South Yorkshire (CPSY) is inviting all community pharmacy contractors across South Yorkshire to consider and vote upon a proposal to establish a new provider company, Community Pharmacy Provider Alliance Ltd.

A Special General Meeting (SGM) has been called to seek contractor approval in accordance with the CPSY Constitution.

Purpose:

To consider and vote on the following resolution:

“That South Yorkshire pharmacy contractors approve the establishment of Community Pharmacy Provider Alliance Ltd and support CPSY in the incorporation and operation of the company in accordance with the draft Articles of Association circulated..”

Why is CPSY proposing a provider company?

Services are increasingly being commissioned at scale through formal provider organisations rather than directly through individual pharmacies.

Whilst CPSY is recognised as the representative body for community pharmacy, it is not currently structured to hold contracts or directly deliver commissioned services.

The proposed company would provide a vehicle through which community pharmacies could work collectively to:

  • Bid for and hold healthcare contracts;
  • Participate in service opportunities that require a single contracting organisation;
  • Support collaborative delivery models;
  • Improve community pharmacy influence in local healthcare commissioning;
  • Enable pharmacies to access opportunities that may otherwise be unavailable to individual contractors.

The company would not replace CPSY and would not alter CPSY’s representative role.

What is being proposed?

The incorporation of:

Community Pharmacy Provider Alliance Ltd

A private company limited by guarantee.

The company has been designed to operate for the benefit of community pharmacy contractors and the populations served by community pharmacy.

Key features include:

  • No shareholders.
  • No distribution of profits to members.
  • Surpluses retained and reinvested to support the company’s objectives.
  • Strong governance arrangements.
  • Director appointments linked to CPSY governance structures.
  • Formal management of conflicts of interest.

What services might the company pursue?

Potential future opportunities may include:

  • Sexual health services;
  • Prevention and screening programmes;
  • Long-term condition support services;
  • Supporting clinical trials and research in/on community pharmacy;
  • Neighbourhood health initiatives;
  • NHS and Local Authority commissioned services;
  • Other healthcare opportunities aligned to community pharmacy capability.

No contracts have yet been awarded to the proposed company.

Governance

The proposed Articles of Association have been developed with legal support, reviewed and accepted by the CPSY Committee.

The company will initially be governed by directors appointed from CPSY leadership and contractor representatives, with appropriate arrangements for accountability, transparency and conflict management.

Financial Impact

The proposal does not create any additional levy on contractors.

The company will be required to operate on a financially sustainable basis and will only undertake activities where there is a viable business case.

Voting

Contractors may:

  • Attend and vote at the SGM; or
  • Submit a postal/electronic vote using the voting form e-mailed to your pharmacies shared NHS mailbox .

Each pharmacy contractor is entitled to one vote for each pharmacy premises they own within South Yorkshire. Voting forms have been sent to your NHS mail address.

To be counted, postal or electronic votes must be received no later than 12.00pm (mid-day) on Monday 27th July

**Please note: Voting forms have been sent to the Head Offices of the following: Asda, Boots, Lo’s, Morrisons, Rowlands, Superdrug, Tesco, Weldricks and Well.
